Employee ownership means a company’s employees own a meaningful share of it, directly or through a trust. The main US forms are an employee stock ownership plan (ESOP), an Employee Ownership Trust (EOT) and a worker cooperative. A sale to employees is one exit path, alongside a family transfer or a sale to an outside buyer.
Employee ownership means the people who work in a business own a meaningful share of it. They may hold shares themselves, or a plan or trust may hold shares for them. It’s called broad-based when most employees take part, not only a few managers. For employees, it can build wealth on top of their pay and benefits.
Common forms in the US
- Employee stock ownership plan (ESOP). A federally regulated retirement plan. A trust holds company shares in accounts for employees, who are usually paid out after they leave or retire. Employees don’t buy the shares.
- Employee Ownership Trust (EOT). A trust holds the company for the employees’ benefit over the long term. Most US EOTs use a perpetual purpose trust, which can also protect the company’s mission. Employees don’t pay to take part, and they usually share in profits. It isn’t a retirement plan.
- Worker cooperative. Employees become member-owners, usually by paying a modest buy-in. Each member has one vote. Profits are usually shared by how much each member works, in payments called patronage dividends.
- Direct ownership. Employees buy and hold shares themselves, often over several years.
How an owner sells to employees
The plan, trust or cooperative buys the shares, and the company funds the purchase. The price is often paid over time, from a bank loan, a seller note or both. The company repays that debt from its future profits. In an ESOP or an EOT, employees usually put in none of their own cash.
Is it a fit?
Fit depends on steady profits and on managers who can run the business without the owner. It also depends on what the owner wants from price, timing and legacy. Employee ownership is one exit path among several. A sale to a financial or strategic buyer, a family transfer and a management buyout each balance those differently.
